The 2 pieces of code do separate things for you.
The conversion code is generally used on thank you pages after someone makes and enquiry or buys from your site and this is reported in AdWords so you can see which keywords are working for you.
The remarketing code is used to build up an audience so you can target these users again using a remarketing campaign on the Goolge display network. ( some people choose to add it to all pages)
