The easy answer is this:

Search - Your ads are connected directly to a search a person conducts on a search site like Google.com.

Content - Your ads are displayed on sites with textual content on them like blogs, news sites, industry sites etc. Instead of your ads displaying when a person conducts a search, Google tries to match up your ads with content they feel is relevant. They do this by looking at the keywords you use in your adgroups, advertisements, and even on your landing page.

Search advertising can be very focused and directly related to your ads. This search = Your Ad

Content advertising is less focused and loosely related to your ads. All the content on this page MIGHT EQUAL your ad.
